1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (whether as an individual or on behalf of an entity) and Prograte Finance Limited (“Prograte Finance,” “Company,” “we,” “us,” or “our”) concerning your access to and use of the Prograte Finance platform.
By creating an account, accessing, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.
Important: These Terms contain provisions regarding dispute resolution and liability limitations that affect your legal rights. Please read carefully.
2. Description of Service
Prograte Finance is a comprehensive Software-as-a-Service (SaaS) platform designed to serve microfinance institutions, money lenders, SACCOs, and credit sales businesses operating in East Africa and beyond.
Core Platform Features:
- Client Management — Comprehensive borrower profiles and tracking
- Loan Origination — Application processing and disbursement
- Payment Collection — Multi-channel collection support
- Credit Sales — Asset financing and installment tracking
- Multi-Branch — Branch-level data segregation
- Reporting — Comprehensive dashboards and analytics
Prograte Finance is a software tool that facilitates lending operations. We do not provide financial advice, guarantee loan repayment, or assume any lending risk.
3. Eligibility & Account Registration
Eligibility Requirements
To use the Platform, you must:
- Be at least 18 years of age
- Represent a legitimate registered business entity
- Operate in compliance with all applicable laws
- Have obtained necessary licenses for lending operations
- Not have been previously suspended from the Platform
Account Responsibilities
- Provide accurate and complete information
- Maintain confidentiality of login credentials
- Notify us immediately of unauthorized access
- Comply with internal policies and procedures
4. Subscription Plans & Billing
Subscription Tiers
- Starter (UGX 150,000/month) — 1 branch, 5 users, 100 active loans & sales
- Business (UGX 350,000/month) — 3 branches, 15 users, 500 active loans & sales
- Enterprise (UGX 750,000/month) — Unlimited branches, users, loans & sales
Payment Terms
- Subscriptions are billed monthly in advance
- Payment due within 7 days of invoice
- Accepted methods: Mobile Money, bank transfer, cards
- All fees are non-refundable except as required by law
- Late payments may result in service suspension
5. Acceptable Use Policy
Permitted Use
- Use for legitimate lending and credit sales operations
- Comply with all applicable laws and regulations
- Maintain accurate records and documentation
- Treat client data with confidentiality
Prohibited Activities
- Illegal lending or predatory practices
- Harassment or abuse of borrowers
- Uploading malicious code or viruses
- Unauthorized access to other data
- Reverse engineering the Platform
- Reselling without authorization
6. Limitation of Liability
To the maximum extent permitted by law, Prograte Finance shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
Our total liability for any claims arising from these Terms or your use of the Platform shall not exceed the amount you paid us in the 12 months preceding the claim.
7. Termination
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We may suspend or terminate your access for violations of these Terms.
Upon termination, you have 30 days to export your data before it is permanently deleted from our systems.
